1. Acceptance of Terms

By accessing or using the Coremax Solutions website at coremax.ca ("Website"), creating a dealer account, or placing an order, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Website or the Services (defined below).

These Terms apply to all visitors, dealers, and users of the Website, the Coremax dealer portal (the "Portal"), and the products and services we provide (the "Services").

2. Eligibility

To use the Services as a dealer, you must:

• Be a legally registered business operating in Canada
• Have reached the age of majority in your province or territory
• Have the authority to bind your business to these Terms
• Provide accurate and complete information during the application process

3. Dealer Accounts

Upon approval of your dealer application, you will be granted access to the Portal. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Keeping your account information accurate and up to date
• Notifying us immediately of any unauthorized use of your account

Documents you upload must be accurate, and you confirm that you have the right to provide them. Invoice and account-balance information displayed in the Portal is drawn from our accounting records and provided for convenience; the issued invoice governs.

Coremax reserves the right to suspend or terminate dealer accounts at our discretion, including for violation of these Terms, inactivity, or fraudulent activity. Upon suspension or termination, your right to access the Portal ends immediately, and amounts owing for orders already placed remain payable. Sections 7, 8, 10, 11, 12, and 13 survive termination.

4. Products & Pricing

• All products are sold exclusively to approved dealers and authorized parts shops — not directly to consumers
• Prices are subject to change without notice and may vary by pricing tier or individually agreed dealer pricing
• We reserve the right to correct pricing or typographical errors and to cancel any order placed at an erroneously listed price
• Product availability is not guaranteed and may be subject to supply constraints
• Product images and descriptions are for reference only and may not reflect exact packaging

5. Product Safety & Compliance

Our products are industrial chemical products intended for professional use. Before handling, storing, or reselling any product, you must review the applicable Safety Data Sheet (SDS), available through the Portal or on request. You are responsible for the handling, storage, transportation, and resale of the products in accordance with the SDS and all applicable laws and regulations — including WHMIS and transportation of dangerous goods requirements — and for providing safety documentation to your customers as required.

6. Orders & Payment

Placing an order through the Portal, or asking Coremax to enter an order on your behalf, constitutes an offer to purchase. Coremax reserves the right to accept or decline any order. Once an order is confirmed:

• Payment terms are as agreed upon in your dealer account setup
• Orders cannot be modified by you once placed. To request a change or cancellation, contact Coremax; orders may be changed or cancelled only before they have shipped
• All prices are in Canadian dollars (CAD) unless otherwise specified
• Order totals shown in the Portal include Ontario HST. Where a different provincial tax treatment applies (for example GST-only, QST or PST), the tax is calculated on the invoice, and the invoice is the definitive statement of taxes and amounts owing
• Shipping methods, delivery terms, and risk of loss are as stated in your order confirmation or dealer agreement; claims for shortages or damage in transit must be reported promptly upon receipt

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including supplier or carrier disruptions, labour disputes, accidents, or government action.

7. Product Warranties

We warrant that our products conform to their published specifications and Safety Data Sheet at the time of shipment. To the maximum extent permitted by law in this business-to-business transaction, all other warranties and conditions, express or implied — including implied conditions of merchantability and fitness for a particular purpose under the Sale of Goods Act (Ontario) — are excluded. Your exclusive remedy for a product that does not conform is, at our option, replacement of the product or refund of the price paid.

8. Intellectual Property

All content on this Website — including logos, trademarks, text, images, product designs, and software — is the property of Coremax Solutions and is protected by Canadian and international intellectual property laws. You may not:

• Reproduce, distribute, or modify any content without our written permission
• Use the Coremax name or logo in any way that implies endorsement or affiliation beyond your authorized dealer relationship
• Reverse engineer or attempt to extract any source code from the Website

Materials we expressly provide for distribution — including Safety Data Sheets and marketing resources available in the Portal — may be shared unmodified in connection with your authorized resale of Coremax products.

9. Acceptable Use

When using our Website and Services, you agree not to:

• Attempt to gain unauthorized access to any part of the Website or systems
• Use automated tools to scrape, crawl, or extract data from the Website
• Interfere with or disrupt the Website or its infrastructure
• Upload or transmit viruses, malware, or any malicious code
• Impersonate another person or business
• Use the Website for any unlawful purpose

10. Limitation of Liability

To the maximum extent permitted by law, Coremax Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website, the Portal, the Services, or the products, including but not limited to loss of profits, data, or business opportunities. Our total aggregate liability arising out of or relating to these Terms, the Website, the Services, or any product shall not exceed the amount you paid for the order giving rise to the claim.

The Website is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Website will be uninterrupted, secure, or error-free.

11. Indemnification

You agree to indemnify and hold harmless Coremax Solutions, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Website, violation of these Terms, or infringement of any third-party rights.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

13. General

If any provision of these Terms is found invalid or unenforceable, it will be severed and the remaining provisions will continue in effect. These Terms, together with any written dealer agreement between you and Coremax, constitute the entire agreement regarding the Website, the Portal, and the Services. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to an affiliate or successor. The Website may contain links to third-party websites; we are not responsible for their content or practices.

14. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date, and we will notify active dealers of material changes by email to the address on your account. Your continued use of the Website after any changes constitutes acceptance of the revised Terms.
